VIZBL PLATFORM & DEVELOPER MASTER AGREEMENT
(API, SDK, Enterprise & White-Label Terms)

This Master Agreement ("Agreement") is entered into by and between Vizbl, Inc. ("Vizbl," "Company") and the individual or entity accessing or using the Services ("Customer," "Developer," or "you").
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
1. Definitions
For purposes of this Agreement:
- "Services" means Vizbl's platform, APIs, SDKs (including Android SDK and iOS SDK), web viewers (including Room Viewer), and related services.
- "Developer Tools" means APIs, SDKs, and associated documentation.
- "Customer Applications" means applications, websites, or systems developed by Customer using the Services.
- "Content" means any data, 3D models, or materials submitted by Customer.
- "End Users" means users of Customer Applications.
2. License Grant
Subject to the terms of this Agreement, Vizbl grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, for an indefinite term, to access and use the Services solely for integration into Customer Applications.
Vizbl may revoke, suspend, or modify this license at any time, with or without notice, and for any reason or no reason.
No rights are granted except as expressly set forth in this Agreement.
3. Restrictions
Customer shall not, and shall not permit any third party to:
3.1 Technical Restrictions
- Reverse engineer, decompile, disassemble, or attempt to derive source code
- Circumvent security mechanisms or access controls
- Interfere with or disrupt system integrity or performance
3.2 Competitive Restrictions
- Develop or operate a competing AR platform or service
- Replicate or emulate Vizbl functionality, architecture, or user experience
3.3 Misuse
- Use the Services for unlawful, fraudulent, or deceptive purposes
- Display or process content that violates applicable law or third-party rights
- Create misleading or harmful augmented reality experiences
3.4 Infrastructure Abuse
- Exceed usage limits or rate limits
- Use unauthorized automation, scraping, or bots
Violation of this Section constitutes a material breach of this Agreement.
4. Distribution Restrictions
Customer shall not:
- Distribute, sublicense, sell, lease, or otherwise make available the Developer Tools as standalone products
- Provide access to Developer Tools as a platform or infrastructure service
- Embed the SDK in a manner that allows extraction or reuse outside Customer Applications
- Expose APIs or SDK functionality for third-party use
Developer Tools may only be used as embedded components within Customer Applications.
5. Platform Control
Vizbl retains full and absolute control over the Services and may, at its sole discretion:
- Modify APIs, SDKs, or features
- Restrict or limit usage
- Suspend or disable functionality
- Deny access to any Customer
Vizbl is not obligated to maintain backward compatibility.
6. Pricing and Commercial Terms
Vizbl reserves the right to:
- Modify pricing, fees, and billing structures
- Introduce new charges or usage-based pricing
- Discontinue or modify free tiers
Such changes may be implemented at any time and may take effect immediately without prior notice.
Continued use of the Services constitutes acceptance of updated pricing.
7. Intellectual Property
7.1 Vizbl Ownership
All rights, title, and interest in and to the Services and Developer Tools are and shall remain the exclusive property of Vizbl.
7.2 Customer Content
Customer retains ownership of its Content. Customer grants Vizbl a worldwide, non-exclusive, royalty-free, sublicensable license to host, process, render, display, and use such Content for the purpose of operating and improving the Services.
7.3 Feedback
All feedback, suggestions, or improvements provided by Customer are deemed non-confidential and are irrevocably assigned to Vizbl without compensation.
7.4 Enforcement
Unauthorized use of the Services may result in injunctive relief and legal action.
8. Security and Audit Rights
Customer agrees to:
- Maintain appropriate security measures
- Protect API keys and credentials
- Notify Vizbl of any unauthorized access
Vizbl reserves the right to monitor usage, audit compliance, and request relevant information.
9. Service Availability
The Services are provided on an "as is" and "as available" basis.
Vizbl makes no guarantees regarding uptime, availability, or continued operation of any feature.
10. Enterprise Service Levels (If Applicable)
If Customer has entered into a separate enterprise agreement, the following may apply:
10.1 Uptime
- Standard: 99.5% monthly uptime
- Enterprise: 99.9% monthly uptime
10.2 Service Credits
Service credits may be issued based on downtime, up to a maximum of 50% of fees for the affected period.
10.3 Support
- Standard: 48-hour response
- Pro: 24-hour response
- Enterprise: 4-8-hour response with priority support
11. White-Label and OEM Use (If Applicable)
Subject to a separate agreement, Customer may use the Services under its own branding.
However:
- No intellectual property rights are transferred
- Customer may not resell or redistribute the core technology
- Customer may not expose Vizbl infrastructure as its own platform
12. Fees and Payment
Customer agrees to pay all applicable fees.
Failure to pay may result in immediate suspension or termination of Services.
13. Suspension and Termination
Vizbl may suspend or terminate access to the Services at any time, with or without notice.
Upon termination:
- All licenses granted under this Agreement immediately cease
- Customer must discontinue all use of the Services
- Customer must remove and delete all integrations and Developer Tools
Vizbl shall have no liability arising from such suspension or termination.
14. Disclaimer of Warranties
The Services are provided without warranties of any kind, whether express or implied, including but not limited to:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability
15. Limitation of Liability
To the maximum extent permitted by law, Vizbl shall not be liable for:
- Indirect, incidental, consequential, or punitive damages
- Loss of revenue, profits, data, or business
- Errors or inaccuracies in augmented reality outputs
The total aggregate liability of Vizbl shall not exceed the greater of:
- The amount paid by Customer in the preceding 12 months, or
- One thousand U.S. dollars (USD $1,000)
For enterprise customers, this cap may be increased pursuant to a separate agreement.
16. Indemnification
Customer agrees to defend, indemnify, and hold harmless Vizbl from any claims, damages, liabilities, or expenses arising from:
- Customer's use of the Services
- Customer Applications or Content
- Violation of applicable law or third-party rights
17. Compliance with Laws
Customer shall comply with all applicable laws and regulations, including:
- Data protection laws (including GDPR and CPRA)
- Export control laws
- Sanctions laws administered by the United States, European Union, and United Kingdom
Customer represents that it is not located in, or associated with, any restricted or sanctioned jurisdiction.
18. No Reliance
Customer acknowledges that:
- The Services may be modified or discontinued at any time
- Customer shall not rely on the continued availability of any feature
19. Injunctive Relief
Customer acknowledges that any breach of this Agreement may cause irreparable harm to Vizbl.
Vizbl shall be entitled to seek injunctive or equitable relief without the requirement to post bond.
20. Dispute Resolution
20.1 Governing Law
This Agreement shall be governed by the laws of the State of California, without regard to conflict of laws principles.
20.2 Arbitration
Any dispute shall be resolved by binding arbitration in California.
20.3 Class Action Waiver
Customer agrees to resolve disputes on an individual basis and waives participation in any class action.
21. Changes to Agreement
Vizbl may modify this Agreement at any time.
Continued use of the Services constitutes acceptance of the updated Agreement.
22. General Provisions
- This Agreement constitutes the entire agreement between the parties
- No partnership, joint venture, or agency relationship is created
- Vizbl may assign this Agreement without restriction
